RENAL CARE GROUP, INC. ANNOUNCES OFFERING OF 2,500,000 COMMON SHARES PRICED AT $32.00

Nashville, Tennessee (November 19, 1996) - Renal Care Group, Inc. (Nasdaq/NM:RCGI) today announced that a registration statement in connection with an offering of 2,500,000 shares of the Company's common stock at $32.00 per share has been declared effective by the Securities and Exchange Commission. The Company is offering approximately 1,064,000 of the shares, and the balance is being offered by certain selling shareholders. The net proceeds to the Company from the offering of approximately $31.8 million will be used for working capital and general corporate purposes, including future acquisitions and development of additional dialysis centers.

The selling stockholders are former owners of companies that founded Renal Care Group and former owners of companies acquired by Renal Care Group who are participating in the offering as part of a registration rights program established as part of their initial transactions with the Company. After the offering, these selling stockholders will continue to own approximately 80% of their shares held in the aggregate at the time of their initial transactions.

Managing underwriters for the offering are Equitable Securities Corporation, Hambrecht & Quist, Morgan Keegan & Company, Inc., and Needham & Company, Inc. The Company and the selling shareholders have granted the underwriters an over-allotment option to purchase up to an additional 375,000 shares of common stock within 30 days of the offering.

Renal Care Group, Inc. is a nephrology services company that was founded in June 1995 to focus on the provision of care to patients with kidney disease, including patients suffering from chronic kidney failure.
