RENAL CARE GROUP, INC. ANNOUNCES FIRST QUARTER RESULTS

Nashville, Tennessee (May 6, 1996) - Renal Care Group, Inc. (Nasdaq/NM:RCGI) today announced financial results for the first quarter ended March 31, 1996, which consists of two months of operations.

The Company's operations began February 6, 1996, when five founding dialysis companies simultaneously combined and completed an initial public offering of 4.5 million shares of the Company's Common Stock at $18.00 per share. A portion of the net proceeds from the offering of approximately $74 million was used to fund the cash portion of the purchase price for the combination of the five dialysis companies, with the balance being used to repay certain indebtedness, and for general corporate purposes, including additional acquisitions.

Mr. Sam A. Brooks, Jr., president and chief executive officer of Renal Care Group, Inc., said, "We are pleased with the results of our initial public offering and with our financial and operating performance to date. As a fully integrated provider of nephrology services, these financial results reflect our success in cost-effectively managing the care of individuals suffering from chronic kidney failure. Although these financial results are good, we believe we have only just begun to demonstrate our potential to improve the operations of the five founding dialysis companies which were combined simultaneously with our initial public offering."

Revenues for the first quarter, which consisted of two months of operations, were $12,823,000 and net income was $1,274,000, or $0.13 per share. On a pro forma basis, which assumes that the five founding companies had been combined during the quarters ended March 31, 1996 and 1995, revenues would have increased 10.1 % to $19,199,000 compared with $17,439,000 for the same period in 1995. Net income, on a pro forma basis, increased 26% to $1,784,000, or $0.19 per share, compared with $1,415,000, or $0.17 per share in the same period last year.

During the quarter, the Company announced that it had entered into two agreements, the first was to operate and manage the outpatient dialysis activities of the Cleveland Clinic Foundation located in Cleveland, Ohio, and the second was with the nephrology Division of the University of Louisville to build and manage a dialysis facility in the city of Louisville. The Nephrology Division will execute a joint venture agreement with Renal Care Group, which will build own and manage a full service dialysis facility with approximately 12 treatment stations.

Subsequent to the close of the quarter, the Company announced the completion of a merger with Mainline Suburban Dialysis of Wynnewood, Pennsylvania, which operates five dialysis facilities serving approximately 350 patients in the suburban Philadelphia area. The transaction will be accounted for as a pooling of interests.

Renal Care Group, Inc. is a specialized provider of nephrology services that was founded in June 1995 to focus on the provision of care to patients with kidney disease, including patients suffering from chronic kidney failure. The Company provides dialysis and ancillary services to approximately 3,200 patients through 47 outpatient dialysis centers in nine states. Renal Care Group also provides acute dialysis services through contractual relationships with 26 hospitals.
